Terms of service

These terms govern use of the GravityAgent service (the "Service"), operated by [ENTITY] ("we", "us"), and of the GravityAgent WordPress plugin (the "Plugin"). By activating a site you agree to them on behalf of the organisation that operates that site ("you").

1. What the Service is

The Service scores Gravity Forms submissions for spam. The Plugin sends each submission of a form you have enabled to our API; the Service returns a verdict, a confidence score and a short explanation; the Plugin acts on the verdict according to the rules in the Plugin. The Service learns from the corrections you make on your own site by re-using them as examples for that site's later submissions. It does not build a shared model from customer data.

2. The Plugin

The Plugin is free software licensed under the GNU General Public License, version 2 or later. Those terms govern the Plugin's code. The Service behind it is proprietary and is provided under these terms, not the GPL. The Plugin is a client: without an activated site and an active plan it admits every submission unscored.

Paid plans are billed annually through our merchant of record, Freemius Inc. Freemius's checkout terms and refund policy apply to the purchase.
Monthly limits reset on a rolling monthly period from activation. When a site reaches its limit (plus a 10% grace allowance) the Service stops scoring and the Plugin admits every further submission unscored until the period resets or you upgrade. We never charge overage; we stop scoring instead.
A free 14-day trial of a paid plan is available once per customer and once per site domain, with no card required. The trial ends after 14 days or 1,000 scored submissions, whichever comes first; scoring then stops until you purchase a plan.
Upgrades take effect immediately. Downgrades and cancellations take effect at the end of the paid period; there is no partial refund from us for the remainder.
The Free tier is limited to one activation per site domain. Attempts to obtain more than one free activation for what is in substance one site, or to use the Free tier for a site you do not operate, are a breach of these terms.
We may change prices and limits for future periods with at least 30 days' notice. A change never applies to a paid period already begun.

4. Fail-open, and what we do not promise

The Service is designed to fail open: if it cannot return a verdict — because of a timeout, an outage, an exhausted quota, a lapsed plan or any other reason — the Plugin admits the submission and marks it "Not scored". You are never locked out of your own forms by us. The corollary is that we do not guarantee that any given submission will be scored, and we do not guarantee that a verdict is correct. Spam scoring is probabilistic. You remain responsible for reviewing your entries, and in particular for reviewing entries the Service marks as spam before relying on that verdict.

We provide the Service on a best-effort basis with no uptime commitment. [REVIEW]

5. Your responsibilities

You are the controller of the submissions you send us. You are responsible for your own privacy notice to the people who fill in your forms, for choosing which fields to exclude, and for the lawfulness of sending us the rest. The Data Processing Addendum sets out our obligations as your processor and is part of these terms.
Keep your API token and licence key confidential. Anything sent with your token is attributed to you.
Do not use the Service to score content you have no right to process, to probe or reverse-engineer the model, to send deliberately crafted inputs intended to manipulate verdicts on other customers' sites, or in a way that violates any law.
Do not resell access to the Service except as an agency scoring sites you operate for clients under the Agency plan.

6. Data

What we process, what we keep, for how long, and who else touches it is set out in the Privacy Policy and the Subprocessors page. In summary: we judge submissions in flight and keep only non-content operational records; we never use your submissions to train a model; stored data is held in the United States.

7. Intellectual property

You own your submissions and your corrections. We own the Service, its models' configuration, and the explanations it generates, and grant you a licence to use the explanations in the course of operating your site. Feedback you give us about the Service may be used without obligation.

8. Suspension and termination

You may deactivate a site at any time from the Plugin. We may suspend or close a site that breaches these terms, that is used to attack the Service, or whose payment fails after the merchant's retry period. On closure the site's API token stops working and the data-deletion terms in the Privacy Policy apply.

9. Warranty disclaimer

THE SERVICE AND THE PLUGIN ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT VERDICTS WILL BE ACCURATE OR THAT THE SERVICE WILL BE UNINTERRUPTED.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST LEADS, LOST REVENUE OR LOST DATA, ARISING FROM THE SERVICE, INCLUDING FROM A SUBMISSION THAT WAS MARKED SPAM OR ADMITTED IN ERROR. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE- MONTH PERIOD IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THAT PERIOD, OR US$100 IF YOU PAID NOTHING.

11. Changes to these terms

We may update these terms. The date at the top changes when we do; material changes are announced at least 30 days in advance on this page and, for paid plans, by e-mail to the address on the account. Continuing to use the Service after a change takes effect is acceptance of it.

12. General

These terms are governed by the laws of [GOVERNING LAW], and its courts have exclusive jurisdiction. If any provision is unenforceable the rest remain in force. These terms, the Privacy Policy, the DPA and the Subprocessors page are the whole agreement between us about the Service.
